Part A: White Elm Affiliate Program Terms and Conditions

Copy everything from the Effective date line through the end of Section 11 onto your affiliate terms page. It matches the September 16 affiliate plan: 15% commission rising to 20%, a 10% follower code, a 30-day cookie, and payout through Tremendous. Have an attorney review it before publishing.

1. The agreement

By applying to or participating in the White Elm Affiliate Program (the "Program"), you ("Affiliate," "you") agree to these Terms and Conditions ("Terms"), our Privacy Policy, and any program guidelines we provide through the affiliate platform. If you do not agree, do not participate. We may update these Terms by posting a revised version and notifying you by email; continued participation after 14 days is acceptance of the change.

2. Eligibility and approval

  1. You must be at least 18 years old and able to enter a binding contract.
  2. You must own or control the website, channel, or social account you apply with, and it must be active and publicly viewable.
  3. We review every application and may accept or decline at our sole discretion, without giving a reason. Acceptance of one account does not extend to other accounts you operate.
  4. We may decline or remove sites and accounts that contain, promote, or link to: adult content, hate speech, violence, illegal activity, counterfeit goods, coupon or deal aggregation, cashback or loyalty rebate schemes, or content that in our judgment is inconsistent with the White Elm brand.
  5. You must keep your contact and payout details accurate and current in the affiliate platform.
  1. On acceptance we issue you a unique tracking link and a personal discount code in your name (for example, JESSICA10). The link applies the discount automatically at checkout.
  2. The code gives your audience 10% off full-price items. It cannot be combined with other codes or sitewide sales, and it excludes gift cards, outlet and final-sale items, and bundles unless we say otherwise in writing.
  3. Your link and code are for your own audience. You may not post, list, or distribute them on coupon, deal, voucher, cashback, or loyalty sites, in forums or groups whose purpose is sharing discounts, or through paid placements that target discount-seeking searches.
  4. We may set a usage cap on your code and may deactivate and reissue a code at any time, including when we find it on a coupon site.
  5. Codes and links are not transferable and may not be sold, rented, or shared with other affiliates.

4. Commissions

  1. Creator tier: 15% of Net Sales on Qualifying Orders.
  2. Partner tier: 20% of Net Sales on Qualifying Orders once your tracked Net Sales reach $2,500 in any rolling 90-day period. You stay at Partner tier as long as your trailing 90-day Net Sales stay at or above $2,500; if they fall below, you return to Creator tier at the start of the next month.
  3. Net Sales means the order subtotal after your follower discount and any other discounts, and excluding shipping, taxes, gift card purchases, and any amounts later refunded, returned, charged back, or cancelled.
  4. Qualifying Order means an order placed on shopwhiteelm.com by a customer who arrived through your tracking link within the Attribution Window or used your code at checkout, and that is paid in full and not refunded, returned, or cancelled within the return window.
  5. Attribution Window: 30 days from the last click on your link. Attribution is last-click. A valid code entered at checkout attributes the order to the code holder even without a link click. Repeat purchases by the same customer during the window also qualify.
  6. Commission is not paid on: orders you place yourself; orders placed for or by members of your household or immediate family; orders using a leaked or unauthorized code; orders that are fraudulent, test, or reversed; and orders from traffic that violates Section 6.
  7. We may change commission rates or tier thresholds with 30 days' written notice. Changes apply to orders placed after the effective date and never reduce commission already earned.

5. Payment

  1. Commission on a Qualifying Order becomes payable 30 days after the order ships, once our return window for that order has closed. Orders refunded, returned, or cancelled before then earn no commission.
  2. Payouts are made through Tremendous to the email address on file. Tremendous lets you choose how to receive funds (bank transfer, PayPal, or gift card); any fees charged by your chosen method are your responsibility. You must accept the Tremendous invitation to be paid.
  3. We send payouts at least monthly for all commission that became payable in the prior period.
  4. If an order is refunded, returned, charged back, or cancelled after commission has been paid, the commission is deducted from your next payout. If no further payouts are due, we may invoice you or treat the amount as forfeited at our discretion.
  5. You are responsible for all taxes on your earnings. US affiliates who earn $600 or more in a calendar year must provide a completed Form W-9 before payout; non-US affiliates must provide a Form W-8BEN. We will issue a Form 1099-NEC where required.
  6. You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship, and you may not make commitments on our behalf.

6. Prohibited conduct

Any of the following is a material breach. We may withhold unpaid commission on affected orders, reverse paid commission, and terminate your participation immediately.

  • Bidding on or buying search ads, social ads, or any paid placement that uses "White Elm," "shopwhiteelm," our product names (Gemini, Gemini Mini, Aquila, Carina, Camille, Carmen, Ivy, Sandy, and others), or misspellings of them as keywords or in ad copy.
  • Directing paid traffic straight to shopwhiteelm.com through your link, or framing or cloaking our site.
  • Posting your code or link on coupon, deal, cashback, rebate, or voucher sites or in discount-sharing communities, or allowing others to do so on your behalf.
  • Using your own code or link for purchases by you, your household, or your immediate family.
  • Cookie stuffing, forced clicks, pop-unders, toolbars or extensions that inject links, or any technique that attributes orders without a genuine user click.
  • Sending unsolicited email or text messages (spam), or messaging people who have not consented to hear from you.
  • Registering domains, social handles, or email addresses that include "White Elm" or our product names, or presenting yourself as White Elm or as our employee.
  • Making claims about our products that are false, unsubstantiated, or that we have not published (for example, calling a water-resistant lining waterproof, or quoting a warranty we do not offer).
  • Offering any discount, rebate, or incentive beyond your issued code.

7. Disclosure and endorsement rules

  1. You must clearly and conspicuously disclose your relationship with White Elm in every post, video, story, newsletter, or page that contains your link or code, as required by the FTC Endorsement Guides and applicable platform rules. The disclosure must appear before the link or code and must be visible without clicking "more" or expanding a caption. Acceptable forms include "#ad," "Paid partnership with White Elm," or "I earn a commission if you buy through my link." A disclosure only in your bio or on a separate page is not sufficient.
  2. Endorsements must reflect your honest opinion and actual experience. You must have used any product you review. We do not condition product, commission, or continued participation on positive coverage, and you may say a product did not work for you.
  3. We may provide product facts, talking points, and brand guidelines. They are provided to keep your content accurate. They are not a script, and you are not required to use them.
  4. You are responsible for complying with all laws and platform policies that apply to your content, including FTC rules, CAN-SPAM, the TCPA, and the advertising rules of each social platform you use.

8. Content, trademarks, and license

  1. We grant you a limited, revocable, non-exclusive license to use the White Elm name, logo, product names, and product images we supply, solely to promote White Elm products under these Terms. You may not alter our logo or product images, use them in a way that suggests we endorse your other content, or use them after termination.
  2. You retain ownership of content you create. You grant White Elm a non-exclusive, royalty-free, worldwide license to repost, share, and feature content that includes our products on our website, social channels, and email, with credit to you, for two years from the date the content is first published, and in paid advertising (including Meta and Google ads) for 180 days from the date the content is first published. Paid use beyond 180 days requires a separate written usage-rights agreement.
  3. You will not remove our trademark notices, register our marks, or claim any rights in them.

9. Term and termination

  1. These Terms begin when we approve your application and continue until terminated.
  2. Either party may terminate at any time with 14 days' written notice. We may terminate immediately for breach of these Terms, suspected fraud, or conduct that in our judgment harms the White Elm brand.
  3. On termination, your link and code are deactivated. Commission earned on Qualifying Orders placed before the termination date is paid on the normal schedule, except where termination is for breach under Section 6, in which case unpaid commission on affected orders is forfeited.
  4. Sections 5.4, 5.5, 8, 10, and 11 survive termination.

10. Disclaimers and limitation of liability

  1. The Program, the affiliate platform, and shopwhiteelm.com are provided "as is." We do not guarantee tracking will be uninterrupted or error-free, or that any level of sales or commission will result.
  2. Our tracking records are the sole basis for calculating commission. If you believe an order was not tracked, notify us within 30 days with the order details and we will review in good faith.
  3. To the fullest extent permitted by law, White Elm's total liability under these Terms is limited to the commission earned and unpaid in the three months before the claim arose. We are not liable for indirect, incidental, or consequential damages, including lost profits.
  4. You will indemnify White Elm against claims, losses, and expenses (including reasonable attorneys' fees) arising from your content, your breach of these Terms, or your violation of any law or third-party right.

11. General

  1. Confidentiality. Commission rates, sales data, and any non-public information we share with you are confidential and may not be disclosed.
  2. Privacy. We process your personal information as described in our Privacy Policy. You will not collect personal information from our customers through your promotion of White Elm.
  3. Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Williamson County, Texas, and you consent to their jurisdiction.
  4. Entire agreement. These Terms, the Privacy Policy, and the program guidelines are the entire agreement between you and White Elm about the Program and replace any earlier discussions.
  5. Assignment. You may not assign these Terms. We may assign them to a successor of our business.
  6. Severability and waiver. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it.
